FoodPlug Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you and FoodPlug E-Service Inc. (“FoodPlug,” “we,” “us,” or “our”) concerning your access to and use of the FoodPlug website, public marketplace, Vendor storefronts, guest checkout, Vendor tools, administrative tools, and related services (collectively, the “Services”).
By accessing or using the Services, creating an account, creating or managing a storefront, or submitting an Order, you agree to these Terms and acknowledge our Privacy Policy.
Customers who submit an Order also agree to the Consumer Terms of Purchase, the Refund and Order Issue Policy, and any Vendor policies disclosed before the Order is submitted.
Vendors also agree to the Vendor Agreement. Current fees and payout information are published on our Pricing and Fees page.
If you do not agree, do not use the Services.
1. About FoodPlug
FoodPlug is a commerce and marketplace technology platform that helps independent food businesses create storefronts, publish products, receive Orders, manage fulfilment, communicate with Customers, record payments, and access business tools.
Unless FoodPlug expressly states otherwise, FoodPlug does not prepare, manufacture, package, inspect, store, own, or sell Vendor products. The Vendor identified on a storefront and at checkout is the seller and fulfiller of its products.
FoodPlug may facilitate marketplace discovery, ordering, payment processing, customer support, refunds, reporting, and other services. Nothing in these Terms changes any responsibility FoodPlug has under applicable law based on the role FoodPlug actually performs.
2. Definitions
- “Customer” or “Buyer” means a person who browses a Vendor storefront, submits an Order, or purchases Vendor products through the Services, including through guest checkout.
- “Vendor” means an independent person or business using FoodPlug to offer products, publish a storefront, receive Orders, or manage commerce activity.
- “Vendor User” means a Vendor owner, employee, contractor, or other authorized user of a Vendor account.
- “Order” means a request submitted by a Customer to purchase products from a Vendor through FoodPlug.
- “Vendor Content” means information or materials supplied by a Vendor, including names, descriptions, logos, photographs, menus, prices, ingredients, allergens, pickup locations, and payment instructions.
- “User” means any person who accesses or uses the Services.
3. Eligibility
You may use the Services only where you can legally enter into the relevant transaction.
To create or manage a Vendor account, you must:
- Be at least 18 years old or the age of majority in your jurisdiction.
- Have authority to act for the Vendor.
- Be legally permitted to operate the business and offer its products.
- Provide accurate and complete information.
A parent or legal guardian must supervise a minor’s use where permitted by law.
4. Accounts and security
You must provide accurate account information, keep it current, protect your credentials, restrict access to authorized persons, and promptly report suspected unauthorized access.
You are responsible for activity performed through your account except to the extent caused by FoodPlug or otherwise provided by law.
FoodPlug may require additional verification before restoring access, changing sensitive information, processing payouts, or responding to certain requests.
5. Vendor storefronts
Vendor storefronts may display business information, products, menus, prices, availability, images, ingredients, allergens, pickup or delivery information, contact information, payment instructions, and verification status.
Vendors decide which business information to make public and must not publish private information without the right and intention to do so.
FoodPlug may impose reasonable limits based on account status, verification, risk, product category, plan, or platform capacity.
6. FoodPlug’s marketplace role
The Vendor, not FoodPlug, is the seller of products offered through a Vendor storefront.
The contract for the sale and fulfilment of Vendor products is between the Customer and the Vendor, except where FoodPlug expressly agrees otherwise in writing or applicable law provides otherwise.
FoodPlug may:
- Provide the platform used to publish listings and submit Orders.
- Facilitate payments and transaction records.
- Provide Customer and Vendor support.
- Administer or facilitate refunds and adjustments.
- Review Vendor information.
- Remove listings or restrict accounts.
- Investigate fraud, safety, privacy, or compliance concerns.
- Introduce third-party delivery or other services under additional terms.
FoodPlug does not guarantee that a Vendor will accept or fulfil an Order, or that a Vendor’s products will meet a Customer’s preferences.
A verification badge is a limited platform trust signal. It is not a warranty, certification, endorsement, or guarantee of product safety, licensing, quality, or fulfilment.
7. Vendor responsibilities
Each Vendor is responsible for its business and products, including:
- All required registrations, permits, licences, inspections, certifications, and insurance.
- Food safety, public health, packaging, storage, transport, labelling, consumer protection, accessibility, employment, and other applicable obligations.
- Product safety, legality, quality, and fitness for sale.
- Accurate prices, quantities, availability, ingredients, allergens, dietary claims, images, pickup information, and delivery information.
- Accepting, rejecting, preparing, packaging, and fulfilling Orders.
- Communicating delays, substitutions, cancellations, and fulfilment changes.
- Vendor taxes, receipts, refunds, complaints, and chargebacks.
- Protecting Customer information.
- Conduct of Vendor staff, contractors, and delivery personnel.

8. Food safety, ingredients, and allergens
Vendors supply food, ingredient, allergen, dietary, and preparation information. FoodPlug does not independently inspect every product or verify every Vendor statement.
Customers with allergies, intolerances, medical conditions, or dietary restrictions must review the Food Safety and Allergen Notice and contact the Vendor before ordering where additional information is needed.
The absence of an allergen warning does not guarantee that a product is free from allergens or cross-contact.
Nothing in these Terms excludes responsibility that cannot legally be excluded.
9. Prohibited products and activity
Users may not offer, purchase, promote, or facilitate:
- Illegal, stolen, counterfeit, recalled, adulterated, contaminated, expired, or unsafe products.
- Products that cannot legally be sold or transported.
- Prescription drugs, controlled substances, illegal drugs, tobacco, nicotine products, or cannabis products.
- Alcohol unless FoodPlug expressly enables the category and all licensing and age-verification requirements are satisfied.
- Weapons, explosives, hazardous materials, or dangerous goods.
- Products that infringe third-party rights.
- Fraud, payment manipulation, deceptive pricing, money laundering, or abusive conduct.
- Unlawful discrimination, threats, harassment, or exploitation.
- Any activity violating applicable food, health, tax, consumer, privacy, sanctions, trade, or criminal law.
FoodPlug may remove content, block transactions, suspend access, or contact authorities where reasonably necessary.
10. Orders
A submitted Order is generally a request to purchase from the identified Vendor. It is not guaranteed until the Vendor accepts or otherwise confirms fulfilment.
Order formation, payment, cancellation, fulfilment, and refund rules are described in the Consumer Terms of Purchase.
FoodPlug may pause, reject, or cancel platform processing where reasonably necessary to address fraud, technical errors, prohibited activity, food safety, payment-provider rules, or legal requirements.
11. Prices, fees, and taxes
All amounts are shown in Canadian dollars unless clearly stated otherwise.
Vendor prices, Vendor-configured taxes, Vendor delivery charges, FoodPlug Marketplace Fees, payment-processing charges, tips, discounts, and final totals will be displayed as applicable.
Mandatory charges must be disclosed before an Order is submitted and must not be hidden or presented deceptively.

Vendors are responsible for determining and remitting taxes on their products and Vendor services. FoodPlug is responsible for applicable tax on FoodPlug’s own fees where required.
12. Payments
FoodPlug may support:
- Integrated online payment processing.
- Interac e-Transfer.
- Cash.
- Bank transfer.
- Mobile money.
- Other Vendor-arranged payment methods.
Where a payment is made directly to a Vendor outside FoodPlug, FoodPlug does not receive or control those funds and may be unable to reverse the transfer.
Where integrated processing is enabled, the payment provider’s terms and verification requirements may apply.
Never submit passwords, online-banking credentials, security answers, or full payment-card details in Order notes or messages.
13. Pickup and delivery
Vendors determine available pickup and delivery methods unless FoodPlug expressly provides or arranges a separate delivery service.
Vendors are responsible for safe packaging, temperature control, accurate pickup details, and Vendor-managed delivery.
Customers are responsible for accurate fulfilment information, availability at the agreed time, and safe storage after receipt.
Additional delivery terms may apply where FoodPlug introduces third-party or managed delivery.
14. Refunds and complaints
Cancellation, replacement, refund, and complaint rules appear in the Refund and Order Issue Policy.
FoodPlug may provide a central support channel and may facilitate or issue an adjustment where permitted by the Vendor Agreement, payment-provider rules, applicable law, or platform policy.
FoodPlug cannot guarantee reversal of a payment made directly outside FoodPlug.
Nothing limits non-waivable consumer rights.
15. User and Vendor content
You retain ownership of content you submit.
You grant FoodPlug a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, transmit, and use that content as reasonably necessary to operate, secure, support, improve, and promote the Services and public Vendor storefronts.
You represent that you own the content or have permission to provide it, and that it is accurate and lawful.
FoodPlug may remove content that violates law, these Terms, or another person’s rights.
16. Reviews
Reviews must reflect genuine experiences and must not be fraudulent, misleading, abusive, discriminatory, defamatory, threatening, or submitted in exchange for undisclosed compensation.
FoodPlug may moderate, remove, restrict, or investigate reviews. FoodPlug does not guarantee that every review is accurate.
Vendors must not retaliate against Customers who submit good-faith complaints or reviews.
17. Intellectual property
FoodPlug’s software, interfaces, branding, designs, text, and platform materials are owned by or licensed to FoodPlug.
FoodPlug grants you a limited, revocable, non-exclusive, non-transferable licence to use the Services for their intended purpose.
You may not improperly copy, resell, sublicense, reverse engineer, scrape, interfere with, or commercially exploit the Services.
18. Privacy
Our personal-information practices are described in the Privacy Policy.
By submitting an Order, a Customer understands that FoodPlug will provide necessary contact, Order, pickup, or delivery information to the relevant Vendor and service providers.
Vendors must use Customer information only for lawful fulfilment, support, accounting, safety, and permitted marketing purposes.
19. Electronic communications
FoodPlug may send service communications relating to accounts, Orders, security, support, legal notices, and platform changes.
Marketing communications will be sent only where permitted by law and any required consent has been obtained. Marketing messages will include an unsubscribe method.
20. Third-party services
FoodPlug may interact with banks, payment providers, delivery services, social platforms, mapping tools, analytics providers, and other third parties.
Third-party services are governed by their own terms and privacy practices. FoodPlug is not responsible for a third party’s independent conduct except where applicable law provides otherwise.
21. Acceptable use
You must not:
- Use FoodPlug for unlawful, fraudulent, deceptive, or abusive purposes.
- Impersonate another person.
- Access another account without permission.
- Bypass security or authorization controls.
- Introduce malware or excessive automated traffic.
- Manipulate Orders, fees, payments, reviews, rankings, or platform records.
- Harvest personal information.
- Harass Users.
- Assist another person in prohibited conduct.
22. Suspension and termination
FoodPlug may restrict, suspend, or terminate access where reasonably necessary because of a breach, fraud, unsafe products, payment abuse, privacy concerns, security risk, legal requirements, repeated non-fulfilment, or material risk to Users or FoodPlug.
Immediate action may be taken where delay could create food-safety, financial, privacy, legal, or security risk.
Rights and obligations connected to earlier Orders, fees, disputes, retained records, liability, and intellectual property survive where appropriate.
23. Service availability
FoodPlug works to maintain reliable and secure Services but does not guarantee uninterrupted or error-free availability.
Maintenance, updates, outages, third-party failures, security incidents, and events beyond reasonable control may affect access.
24. Disclaimers
To the maximum extent permitted by law:
- The Services are provided “as is” and “as available.”
- FoodPlug does not guarantee Vendor Content, availability, prices, tax settings, payment statuses, or fulfilment information supplied by Vendors.
- FoodPlug does not guarantee the quality, ingredients, safety, legality, preparation, delivery, or suitability of Vendor products.
- FoodPlug does not provide legal, tax, medical, nutrition, food-safety, or accounting advice.
Nothing excludes a right, condition, warranty, or remedy that cannot legally be excluded.
25. Limitation of liability
To the maximum extent permitted by law, FoodPlug and its directors, officers, employees, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or loss of profit, revenue, opportunity, goodwill, data, or anticipated savings.
FoodPlug is not responsible for losses arising from:
- Vendor products or operations.
- Vendor food preparation, labelling, allergens, pickup, or delivery.
- User acts or omissions.
- Direct payments between Customers and Vendors.
- Vendor cancellation, delay, substitution, non-fulfilment, or refusal to refund.
- Inaccurate Vendor Content.
- Third-party payment, messaging, banking, or delivery services.
- Events outside FoodPlug’s reasonable control.
To the maximum extent permitted by law, FoodPlug’s aggregate liability will not exceed the greater of:
- CAD $100; or
- Fees paid directly to FoodPlug by the person making the claim during the 12 months before the event giving rise to the claim.
These limits do not apply where liability cannot legally be limited.
26. Business-user indemnity
A Vendor or business User agrees, to the extent permitted by law, to defend, indemnify, and hold harmless FoodPlug and its representatives from claims and losses arising from that User’s products, operations, content, taxes, licences, employees, contractors, handling of Customer information, breach, legal violation, or dispute with a third party.
Additional Vendor indemnities appear in the Vendor Agreement.
27. Governing law and disputes
Before starting formal proceedings, you and FoodPlug agree to make a reasonable effort to resolve the dispute by contacting hello@myfoodplug.ca.
These Terms are governed by Ontario law and applicable federal laws of Canada, without regard to conflict-of-law principles.
Nothing requires a consumer to waive a non-waivable statutory right, prevents use of a legally available consumer forum, or prevents voluntary mediation after a dispute arises.
28. Changes
FoodPlug may update these Terms for changes to the Services, law, security, payment systems, or operations.
We will post the updated Terms and revise the “Last updated” date. Material changes will receive additional notice where reasonably appropriate or required.
Where express consent is required, FoodPlug will request it.
29. General
These Terms, the Privacy Policy, and any applicable specific terms form the agreement governing the relevant Services.
More specific terms control the activity they address.
If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver.
