FoodPlug Terms of Use

These Terms form an agreement between you and FoodPlug E-Services Inc. ("FoodPlug," "we," "us," or "our") for your use of FoodPlug's website, marketplace, storefronts, checkout, Vendor dashboard, administrative tools, and related services (the "Services").

By accessing the Services, creating an account, managing a storefront, or submitting an Order, you agree to these Terms and acknowledge the Privacy Policy. Customers also agree to the Consumer Terms, Refund Policy, Food Safety Notice, Product Tax Allocation Schedule, and disclosed Vendor policies. Vendors also agree to the Vendor Agreement, Pricing and Fees, and Product Tax Allocation Schedule.

1. FoodPlug's role

FoodPlug provides commerce and marketplace technology to independent food businesses. Unless FoodPlug expressly identifies itself as seller, FoodPlug does not prepare, manufacture, package, store, own, or sell Vendor products.

The identified Vendor is the underlying seller and fulfils the Order. FoodPlug may facilitate discovery, ordering, payments, records, support, refunds, reporting, and compliance controls. The role FoodPlug actually performs and mandatory law control over labels used in these Terms.

2. Key definitions

  • Customer means a person who browses, submits, or purchases an Order, including through guest checkout.
  • Vendor means an independent person or business offering products or managing commerce through FoodPlug.
  • Order means a request to purchase Vendor products submitted through FoodPlug.
  • FoodPlug-Facilitated Transaction, Completed Order, and External Record have the meanings in Pricing and Fees.
  • Product Tax means GST/HST or another sales tax calculated on Vendor products or other supplies in an Order.
  • Vendor Content includes business details, menus, product descriptions, prices, ingredients, allergens, images, fulfilment information, and policies supplied by a Vendor.
  • User means anyone accessing the Services.

3. Eligibility and accounts

You must be legally capable of the relevant transaction. A Vendor owner or administrator must be at least the age of majority, have authority to bind the Vendor, and be legally permitted to operate.

You must provide accurate information, keep it current, protect credentials, restrict access to authorized users, and report suspected unauthorized access. FoodPlug may require verification for sensitive actions, payments, payouts, tax settings, or account recovery.

4. Vendor storefronts and verification

Vendor storefronts may display identity, products, prices, ingredients, allergens, pickup/delivery information, contact information, and verification status.

A badge or review status is a limited platform signal. It is not government certification, an endorsement, or a guarantee of safety, licensing, quality, or fulfilment.

FoodPlug may require, review, expire, reject, or remove documents and may restrict selling until minimum requirements are met. FoodPlug does not assume a general duty to inspect every Vendor or product.

5. Vendor responsibilities

Each Vendor is responsible for:

  • lawful operation, licences, permits, inspections, registrations, certifications, and insurance;
  • food safety, public health, storage, packaging, temperature, transport, labelling, recalls, and traceability;
  • accurate products, quantities, availability, prices, ingredients, allergens, dietary claims, and fulfilment details;
  • accepting, preparing, packaging, and fulfilling Orders;
  • Vendor staff, contractors, and delivery personnel;
  • accurate tax and registration information, taxes legally allocated to the Vendor, receipts, refunds, customer service, and chargebacks; and
  • lawful protection and use of Customer information.

6. Food safety and allergens

Vendor-supplied ingredient and allergen information may be incomplete or change. Cross-contact can occur. FoodPlug does not guarantee that products are allergen-free or appropriate for a medical, religious, cultural, or dietary requirement.

Customers must review the Food Safety Notice and contact the Vendor when more information is needed. Nothing excludes liability that cannot lawfully be excluded.

7. Prohibited products and conduct

Users must not offer, purchase, promote, or facilitate:

  • illegal, stolen, counterfeit, recalled, adulterated, contaminated, expired, unsafe, or unlawfully labelled products;
  • products that cannot lawfully be sold, stored, transported, or delivered;
  • controlled drugs, illegal drugs, tobacco, nicotine, cannabis, weapons, explosives, or hazardous goods;
  • alcohol unless FoodPlug expressly enables it and every licensing and age-control requirement is met;
  • infringement, fraud, money laundering, fee evasion, deceptive pricing, fake Orders, review manipulation, harassment, threats, or discrimination; or
  • conduct violating food, health, consumer, tax, privacy, sanctions, trade, payment, or criminal law.

FoodPlug may remove listings, stop transactions, preserve evidence, suspend access, or contact authorities where reasonably necessary.

8. Orders, prices, fees, and taxes

An Order is generally a request to buy from the identified Vendor and becomes binding as described in the Consumer Terms.

Before submission, checkout will display applicable product prices, Vendor charges, discounts, Product Tax, FoodPlug fees, lawful surcharges, tips, fulfilment information, and final total.

Current calculations and tax-allocation rules appear in Pricing and Fees. A registered Vendor generally collects and remits Product Tax on its taxable supplies. For qualifying taxable goods sold by a Vendor that is not registered under the normal GST/HST regime, FoodPlug may collect and remit Product Tax in its own capacity as the statutory distribution platform operator. That Product Tax is not Vendor revenue and does not change the Vendor's underlying product, safety, fulfilment, or consumer obligations.

FoodPlug may pause or cancel processing for technical error, fraud, safety, prohibited activity, provider rules, or law.

9. Payments

FoodPlug may support integrated cards, cash, Interac e-Transfer, bank transfer, external terminals, or other methods.

External payment does not change the fee status of a FoodPlug-Facilitated Transaction. FoodPlug does not receive, guarantee, hold, or reverse money paid directly to a Vendor unless it actually provides that function.

Where FoodPlug is the statutory collector of Product Tax on an externally paid Order, the Vendor may receive that tax only as FoodPlug's limited collection agent and must account for it to FoodPlug. FoodPlug may restrict external payment methods for affected Orders.

Payment-provider terms and verification requirements may apply. Never place passwords, banking credentials, security answers, or full card details in notes or messages.

10. Pickup and delivery

Unless FoodPlug expressly provides a delivery service, the Vendor controls and is responsible for pickup and delivery. Vendors must use safe packaging, temperature controls, accurate details, and lawful personnel. Customers must provide correct information, be available, and store food safely after receipt.

Separate delivery terms may apply if FoodPlug enables managed or third-party delivery.

11. Refunds, complaints, and recalls

The Refund Policy governs cancellations, replacements, refunds, credits, and Order issues.

FoodPlug may investigate, facilitate communication, issue or administer an adjustment, recover Vendor-funded remedies, pause unsafe listings, and notify affected Customers or authorities. FoodPlug generally cannot reverse a direct external payment.

Any Product Tax adjustment will be administered by the party legally responsible for that tax or through its authorized collection arrangement.

12. Content and reviews

You retain ownership of content you submit. You grant FoodPlug a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, transmit, and use it as reasonably necessary to operate, secure, support, improve, and promote the Services and public storefronts.

You must have the right to submit content and must not provide unlawful, misleading, defamatory, infringing, or private material without authority.

Reviews must reflect genuine experiences. FoodPlug may moderate or remove reviews and does not guarantee their accuracy. Vendors must not retaliate for a good-faith complaint or review.

13. FoodPlug intellectual property

FoodPlug and its licensors own the software, interfaces, branding, designs, and platform materials. FoodPlug grants a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.

You must not improperly copy, resell, sublicense, reverse engineer, scrape, overload, bypass, or interfere with the Services.

14. Privacy and communications

The Privacy Policy describes FoodPlug's handling of personal information. FoodPlug shares necessary Order and fulfilment information with the Vendor and relevant providers.

FoodPlug may send required account, Order, support, safety, security, and legal messages. Marketing is sent only where permitted and includes an unsubscribe method.

15. Third-party services

The Services may interact with payment, banking, identity, hosting, analytics, mapping, delivery, messaging, social, or other providers. Their terms and privacy practices may apply. FoodPlug is not responsible for their independent conduct except as required by law.

16. Suspension and termination

FoodPlug may restrict, suspend, or terminate access for breach, fraud, unsafe products, non-fulfilment, payment abuse, unpaid fees, privacy or security risk, missing requirements, or law. FoodPlug may act immediately where delay creates material risk.

Earlier Orders, fees, disputes, records, licences, liability provisions, and other terms intended to survive remain effective.

17. Service availability and disclaimers

FoodPlug aims to provide reliable Services but does not guarantee uninterrupted, error-free, or always-available operation.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” FoodPlug does not guarantee Vendor Content, products, ingredients, safety, legality, tax settings, availability, acceptance, preparation, fulfilment, pickup, or delivery.

FoodPlug does not provide legal, tax, medical, nutrition, food-safety, or accounting advice.

18. Limitation of liability

Nothing limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of privacy obligations where liability cannot be limited, or any non-waivable right.

To the maximum extent permitted by law, FoodPlug and its representatives are not liable for indirect, special, incidental, consequential, punitive, or exemplary damages, or loss of profit, opportunity, goodwill, data, or anticipated savings.

For a Vendor or other business User, FoodPlug's aggregate liability arising from the Services will not exceed the greater of CAD $100 or fees paid directly to FoodPlug by that business User in the 12 months before the event. This business cap does not apply where prohibited or where a separate written agreement states otherwise.

Consumer liability is limited only to the extent permitted by the mandatory law applicable to the consumer and transaction.

19. Business-user indemnity

A Vendor or business User will indemnify FoodPlug and its representatives from third-party claims and reasonable losses arising from that business User's products, operations, content, taxes, licences, staff, Customer-data handling, breach, or violation of law, except to the extent caused by FoodPlug's own breach, negligence, or misconduct.

20. Disputes and governing law

Contact hello@myfoodplug.ca before formal proceedings so the parties can try to resolve the issue.

These Terms are governed by British Columbia law and applicable federal law, without excluding mandatory consumer law or a legally available consumer forum in another province or territory.

Nothing prevents a report to a regulator, public-health authority, law enforcement agency, payment provider, or court with jurisdiction.

21. Changes

FoodPlug may update these Terms prospectively for changes to law, Services, security, payments, tax, or operations. FoodPlug will post the new date and provide additional notice for material changes where appropriate or required. Express acceptance will be requested where required.

22. General

These Terms and applicable specific policies form the agreement for the relevant Services. Specific terms control the activity they address. If a provision is unenforceable, the rest remains effective. A failure to enforce is not a waiver. You may not assign your rights without FoodPlug's consent; FoodPlug may assign these Terms in a merger, reorganization, financing, or sale, subject to law.
